End User License Agreement

Agreement and acceptance
The user of our mobile applications (the “User” or “you”, and each application the “App”) and the developer and owner of Signal Guard (the “Company”, “we” or “us”), enter into this End User License Agreement (“EULA”). The EULA applies to your use of the Apps and the Services available within them, as described below.
Before proceeding, carefully review this EULA and our Privacy Policy and ensure that you understand and accept both. Installing an App, opening an account, accessing our Services or subscribing to paid Services constitutes your representation and warranty that you have read, understood and accepted this EULA. If you reject any part of it, stop using the Apps and Services, delete your account and uninstall the App.
Acceptance: review this EULA before you download or use the App or Services. This EULA is a binding, enforceable electronic contract between you and the Company. Installing and using the App and Services confirms that you have read, understood and accepted its terms. You also agree to follow its requirements and all laws and regulations applicable to your use. If you do not accept any provision, you may not use the App and must uninstall it where applicable.
Who may use the App
You represent and warrant that you are legally eligible to enter into these Terms. You also represent and warrant that no authorised authority, court order or law prohibits you from entering into an agreement.
Available Services
The Services available depend on the App installed. They may include picture or video editing, utilities, gaming enhancers, wallpapers, WhatsApp-supported applications, notification shade applications, accessibility-featured applications and other services (together, the “Services”). A continuous, available internet connection is required; interrupted or absent connectivity can prevent use. Subject to this EULA, the Company has sole discretion over available features, settings, prices and tools. It may modify, correct, amend, update, upgrade, enhance, improve, remove, replace or otherwise change a feature or function, or suspend or discontinue it temporarily or permanently, with or without notice and without liability to you.
Licence and ownership
Under this EULA, the Company gives you a revocable, limited, non-exclusive, non-transferable, non-assignable and non-sublicensable licence to install the App and use the Services only for the stated purposes and only on a non-commercial basis (the “License”). Unless this EULA expressly says otherwise, we or our licensors retain all ownership, title, rights and interests in the Services and associated copyrights, trademarks, images, logos, product names and trade names, to the fullest extent allowed by law. Rights not expressly granted are reserved. App trademarks, service marks, components, code, protocols, software, documentation and their derivatives, improvements and modifications, excluding Third-Party Management Tools, belong to us or our licensors. They are protected worldwide by copyright, trademark, patent, proprietary-rights and trade-secret laws, including moral or similar rights. Do not use, delete, alter or remove proprietary notices in the App. Apart from the rights expressly granted, we retain all rights, title and interests in the Service and the content supplied or made available with it, excluding Third-Party Advertisement.
Your assurances and permitted use
You warrant that you are eligible to enter into this EULA and that no competent authority, court order or law prevents you from entering an agreement; that you have the legal competence to enter into this EULA; and that, if acting for a corporation, you hold the required authority. You also warrant that you own or are authorised to use the device on which the App is installed and the Third Party Advertisements’ licence used for the Services, that you will install and use the App and Services according to our instructions, and that your use will comply with all applicable laws, rules and regulations. Unless this EULA expressly permits it, you must not, directly or indirectly, do any of the following or enable someone else to do so: change, modify, edit, create derivative works from, alter or bypass any App feature; claim proprietary rights in the App or remove, amend or impair proprietary notices; disable, interfere with or circumvent security features or impair performance; access or attempt to access or use the App through malicious code or automated means, including scraping, crawling, robots or spiders; promote, carry out or contribute to fraud, illegal conduct or other inappropriate activity through the Services; or change, modify, decompile, disassemble, reverse engineer, translate, copy, circumvent or hack the App, or attempt to extract its source code.
Your account and sign-in information
Some App features may require an account (“Account”) or sign-in through a service such as Google or Facebook (a “Third Party Tool”). Registration may require details and a password, or permission to access account information through that tool (the “Login Information”). Keep your Login Information confidential, safeguard it and supervise use of the Account. You are responsible for every use of your Login Information, including purchases, whether authorised by you or not. If you know of or reasonably suspect a security breach, including lost, stolen or disclosed Login Information or unauthorised Account access, notify us immediately and change your Login Information. When you register through a Third Party Tool, information you supply or that we access through the tool, subject to that tool’s terms, may appear on your profile and be visible to other users; this can include your username and photograph. Registration information must be complete and accurate, and you must promptly update it, including contact details, when it changes. Do not misrepresent your identity or age in order to open an Account on behalf of someone else. Monitor your Account and prevent use by ineligible users. You bear full responsibility for use of the Service through your Login Information, including use of a credit card or other payment instrument. We may remove or reclaim any username at any time for any reason, including a third party’s allegation that it infringes rights or otherwise breaches this EULA.
To change Login Information or other personal information connected to your Account, contact support.signalguard@diyappsstudio.com. To close the Account, send us a written request. We will terminate and remove it within a reasonable period after receiving the request. Once termination takes effect, you lose access to the Account and all associated Services.
Stores, providers and advertising
Availability of the Apps depends on the third-party distribution service used, including the App Store, Google Play or another application store (each an “App Store”, together the “App Stores”). Your licence to use the Apps depends on compliance with the applicable store agreements, usage or service terms and policies. Some App features are supplied by third-party providers under their own terms and conditions or privacy policies. The Services may also display third-party advertising or links to third-party websites and resources (together, “Third-Party Ads”). Those Third-Party Ads operate under separate terms and policies. We accept no responsibility or liability for their acts, and do not review, approve, monitor, endorse or warrant them or make representations about them.
Content supplied by users
The App may allow you to upload, post or otherwise provide text, pictures, video, audio or other content (“User Content”). Users may take all or part of another user’s content to create further User Content, including by combining content from several users. We have not verified or approved User Content or the materials it contains. Any use of a content-uploading or publishing feature must comply with this EULA.
You warrant that every upload of User Content complies with applicable laws, rules and regulations and the policies we make available. You are liable to us and must indemnify us for a breach of that warranty, including any resulting loss or damage we suffer.
Subscriptions and free trials
Premium Services may require an automatically renewing paid subscription (a “Subscription”). Premium features may be available on a weekly, monthly or yearly subscription, or for a one-time payment. A Subscription renews until you terminate or cancel it. Apple Pay or Google Pay processes the payment under the relevant provider’s conditions; the Google Pay and Apple Pay terms are linked with this section. You may cancel at any time through the applicable provider. Following cancellation, paid features remain available until the end of the applicable billing period, then expire, and you may return to the free Services. To the extent allowed by law, subscription payments are non-refundable and no refund is given for a partial subscription. The Apple and Google support links provide further cancellation information. We may, at our sole discretion, offer a limited free trial of premium features (a “Free Trial”). It begins when you register and renews automatically unless cancelled at least 24 hours before its end. Automatic-renewal terms and cancellation procedures will be disclosed before purchase and are subject to Google’s or Apple’s terms. Registering for a Free Trial authorises us to start recurring charges on the day immediately after it ends, at the subscription interval selected at registration. To avoid this charge, cancel the Subscription before the Free Trial ends. We may restrict access to multiple trials. At our discretion, we may change Subscription features or functionality, including to improve or manage the Services or meet legal or technical requirements. If a change adversely affects an existing Subscription by more than a limited amount, we will inform you and you may terminate it. You are responsible for obtaining the equipment and telecommunications services needed to access the Services and paying all related charges, including device, internet and airtime costs.Google Pay terms · Apple support page · Google support page
Purchasing digital Goods
The App may offer purchases (“IAP”) of goods or special features intended to improve performance or the experience of using the Services (“Goods”). Purchases are made through the Apple Store, Google Play or another application store (each an “App Store”, collectively the “App Stores”) and constitute acceptance of that store’s Terms of Use. App store refund policies apply. Goods are supplied “as is”, without warranty. Unless we decide otherwise at our sole discretion, each purchase, sale or trade is final and non-refundable. Goods have no monetary value and are not currency or property of any kind. They cannot be sold, transferred, traded or exchanged for legally accepted payment, goods or anything else of monetary value, whether from us or another person. Your only entitlement is a limited, revocable, personal, non-transferable and non-sublicensable licence to use the Goods; you acquire no ownership. A balance of Goods is not stored value. You must not buy or sell Goods or your account for money, or exchange items for other value, through any method except one established for the Services. Acquired Goods and accounts cannot be traded or transferred to another user unless we provide that functionality, within the App or through another method. At our sole discretion, we may manage, control, regulate, change or eliminate Goods at any time, with or without notice, without liability to you or any third party. If we suspend or terminate your account for any reason, all Goods may be forfeited at our sole discretion. No money or other compensation is payable for unused Goods when an account closes, whether voluntarily or involuntarily. Some jurisdictions provide statutory rights, including a cooling-off period for withdrawing from a purchase. Nothing in these provisions limits applicable statutory return or withdrawal rights.
Club membership and Offers
You may register for our membership club (the “Members Club”) and become a “Member”. The club provides discounts, gifts, promotions and other benefits (an “Offer”). Registration requires an email address, and you alone are responsible for its accuracy. Membership is personal, limited to one user per Account and continues indefinitely unless the Company decides otherwise. At its sole discretion, the Company may revise or add to Offers and their terms, including adding Offers or eligibility conditions, restricting the Services to which an Offer applies or limiting an Offer’s duration. Use an Offer in accordance with its stated conditions. Joining the Members Club and accepting this EULA constitutes agreement to receive marketing messages, member promotions, offers and other communications about the Services. You may end membership at any time by emailing support.signalguard@diyappsstudio.com; club communications and Offers will then stop. To the maximum extent permitted by law, the Company is not liable for indirect, incidental, consequential, special or exemplary damages arising from use of, or inability to use, Offers or club Services. This includes loss of profits, data, business, opportunity, goodwill and other intangible losses. To the same extent, the Company is not liable for Offers lost or redeemed through fraud.
Privacy
We respect users’ privacy rights. Read our Privacy Policy before using the App or Services and review it periodically. The Privacy Policy is incorporated into this EULA by reference and forms an integral part of it.Privacy Policy
Changes to the App
We may revise the App or Services at any time, including by changing, upgrading or updating any feature (“Revisions”). We have no obligation to give advance notice or any other notice of Revisions and accept no liability for damage or other effects they cause. Revisions may be installed automatically.
Changes to these terms
We may revise or amend this EULA from time to time at our discretion. Revisions take effect on the date indicated by the “Last Revise” heading above. If we consider a change material, we will make a reasonable effort to post a notice. Review the EULA periodically: continuing to use the App or Services after the Last Revised date means that you accept the changes and agree to be bound by them.
Ending the agreement
You may end this EULA and your use of the Services at any time by stopping use and deleting the App, requesting deletion of your Account, or cancelling a Subscription under the Subscription provisions. We may immediately terminate this EULA or your access to any or all Services at any time, with or without cause or notice. Termination may destroy information and data associated with your use. We may change, modify, suspend or discontinue any aspect of the Service at any time without notice or liability. If applicable law requires otherwise, we will make a reasonable effort to notify you of significant and substantial changes that significantly affect you. On expiry or termination, all rights and licences under these Terms end immediately and you must stop using the Services. Provisions intended by their nature to continue remain effective after expiry or termination for any reason.
Service disclaimers
The App and Services are supplied “as is” and “as available”. No express or implied warranties are given, including representations, warranties or conditions about merchantability, fitness for a particular purpose, non-infringement, title, warranties arising under statute or from a course of dealing or trade usage, suitability, marketability, incompleteness, applicability, relevance or service level. We do not warrant the absence of harmful or malicious code, errors or bugs, or that we will correct errors. The Company accepts no responsibility or liability to you or third parties for consequences of technical issues in the App or Services, particularly Third-Party Management Tools. We do not promise availability at any specific time or location. We also accept no liability or responsibility for damage or errors of any kind caused by Third-Party Management Tools or their integration through the App. You use the App and Services at your own risk and responsibility.
The App and Services are intended to support and supplement well-known third-party platforms and software. We do not own those platforms or software and are not affiliated, associated, authorised, endorsed or otherwise officially connected with them. Using the App or Services together with a third-party platform is at your discretion and requires compliance with both our terms and that platform’s terms, policies and regulations.
Limits on responsibility
To the fullest extent allowed by law, you accept that the Company, its affiliates and their officers, directors, employees and agents are not liable for indirect, incidental, consequential, special or exemplary damages resulting from use of, or inability to use, the App or Services. Excluded losses include profits, data, business, opportunity, goodwill and other intangible losses, even if the Company was advised that such damage was possible. Our total aggregate liability will not exceed US$50. Where a state or jurisdiction does not permit an exclusion or limitation of damages, liability is limited only to the extent that its law allows.
Indemnity and release
You must defend, indemnify and hold harmless the Company, its affiliates and their officers, directors, employees and agents against third-party claims, damages, liabilities and expenses, including reasonable legal fees, arising from your use of the Services in breach of this EULA, including negligence or wrongful acts; abuse or infringement of third-party rights through the Services; or breach of applicable laws, regulations or policies. This obligation continues after the Terms expire or terminate and after you stop using the Services. You also release us and our officers, employees, agents and successors from demands, losses, damages, rights, claims and actions of every kind, including personal injury, death and property damage, directly or indirectly connected with or arising from interactions with or conduct of Service users or Third-Party Ads.
Governing law and disputes
Only the laws of England and Wales govern this EULA, without applying conflict-of-laws rules. Disputes, claims or controversies arising from, connected with or otherwise related to this EULA or your use of the App or Services fall within the exclusive jurisdiction of the competent court in England and Wales. Any claim concerning this EULA, the App or the Services must be brought within twelve (12) months of the relevant claim; after that period it is permanently barred.
General provisions
This EULA is the complete understanding between you and the Company about use of the App and Services. A finding that one provision is invalid or unenforceable does not affect the validity or continued force of the others. You may not assign or transfer rights under this EULA. The Company may assign its rights and obligations to any third party at its sole and absolute discretion. Failure to enforce a right or take action does not waive that right or prevent action for a future breach. The Company will not be considered in breach if it cannot provide the App, the Services or any part of them.
